KARIANA Early Access License Agreement

1. Parties

This KARIANA Early Access License Agreement ("Agreement") is entered into between:

  • Licensor: INGI Prosta Spolka Akcyjna ("INGI", "we", "us", or "our")
  • Licensee: the individual or entity accepted into the KARIANA Early Access program ("you" or "your")

By installing, accessing, or using the Early Access version of the Software, you agree to be bound by this Agreement.

2. Definitions

For the purposes of this Agreement:

  • Early Access Period means the period designated by INGI for the Early Access program, as communicated by us in the product, on the Website, or by email.
  • Feedback means suggestions, comments, bug reports, ideas, and recommendations relating to the Software.
  • Software means the KARIANA plugin for Unreal Engine 5 and related pre-release tools, integrations, documentation, updates, and services made available under the Early Access program.
  • Telemetry Data means technical, diagnostic, and product-usage data generated through use of the Software, including event logs, error logs, performance metrics, request volume, and feature usage information.
  • User Content means prompts, inputs, instructions, project-related data, configuration data, and outputs that you submit to or generate through the Software.

3. License Grant

Subject to this Agreement, INGI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install, access, and use the Software during the Early Access Period solely for internal evaluation, testing, and feedback purposes.

Unless we expressly state otherwise in writing, the Early Access license is provided free of charge.

INGI may impose or modify technical limits, access windows, or usage thresholds for the Early Access program at any time.

This Agreement does not grant any production support, service level commitment, or guaranteed availability.

4. Early Access Nature of the Software

You acknowledge that the Software is a pre-release product and may contain bugs, errors, defects, security vulnerabilities, incomplete features, or other issues.

The Software may change substantially before general release, or may never be commercially released.

Features, pricing, packaging, technical architecture, and deployment options described during Early Access are illustrative only and may change.

5. Telemetry and Data Processing

Participation in Early Access requires the processing of Telemetry Data and related diagnostic information reasonably necessary to evaluate, secure, support, and improve the pre-release Software.

By participating in Early Access, you acknowledge and agree that such telemetry and diagnostic processing is a condition of the Early Access program.

Telemetry and diagnostic processing may include:

  • token consumption and request volume
  • feature usage and workflow activity
  • tool invocation data
  • crash reports and error logs
  • latency and performance data
  • software version and environment metadata
  • account or workspace identifiers needed to attribute usage securely

Unless separately disclosed in writing, INGI does not intentionally use your prompt content or project content for optional product analytics in Early Access beyond what is reasonably necessary to operate the requested functionality, troubleshoot issues, secure the service, and improve the pre-release Software.

6. Your Content

As between you and INGI, you retain ownership of your User Content.

You grant INGI a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, reproduce, modify as technically necessary, and otherwise process User Content solely to:

  • provide the Software to you
  • maintain, support, secure, and improve the Early Access program
  • investigate bugs, errors, abuse, and security incidents
  • comply with law
  • enforce our agreements

You represent that you have all rights necessary to submit User Content and allow us to process it for these purposes.

7. Feedback

If you provide Feedback, you grant INGI a perpetual, irrevocable, worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and incorporate that Feedback into the Software and related products or services without restriction or compensation.

8. Intellectual Property

Except for the limited license expressly granted in this Agreement, INGI and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.

No rights are granted by implication, estoppel, or otherwise.

9. Restrictions

You may not, except to the extent prohibited by applicable law:

  • reverse engineer, decompile, or disassemble the Software
  • bypass or circumvent technical restrictions, access controls, or usage controls
  • distribute, sublicense, lease, rent, lend, sell, or otherwise make the Software available to unauthorized third parties
  • remove or alter proprietary notices
  • use the Software in violation of law
  • use the Software to copy protected elements of the Software into a competing product
  • use confidential, non-public information obtained from the Early Access program to build or market a competing product or service
  • share access credentials with any unauthorized person

10. Public Communications

Unless we expressly notify you otherwise in writing, you may publicly discuss your experience with the Software, including reviews, streams, screenshots, videos, and commentary.

If you do so, you agree not to:

  • misrepresent the Software as a final release
  • disclose confidential information that we identify as non-public
  • make false or misleading statements about the Software or your relationship with INGI

We may issue separate community, branding, or embargo guidelines for the Early Access program.

11. No Support Obligation

We may provide support, documentation, community channels, or onboarding materials during Early Access, but we are not obligated to provide any particular level of support.

12. Term and Termination

This Agreement begins when you first access or use the Software and continues until the end of the Early Access Period, unless terminated earlier.

You may stop participating at any time by discontinuing use of the Software.

We may suspend or terminate your participation immediately if:

  • you breach this Agreement
  • continued participation creates security, legal, or operational risk
  • the Early Access program is changed, paused, or discontinued

Where reasonably practicable and where the issue is curable, we may provide notice and an opportunity to cure before termination.

Upon termination or expiration, your license ends immediately and you must stop using the Software.

13. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.

INGI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

INGI DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

You are responsible for maintaining backups and version control for your own projects and environments.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INGI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INGI'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF:

  • the amount you paid for access to the Early Access program in the 12 months preceding the claim, or
  • USD 100

Nothing in this Agreement excludes or limits liability that cannot be excluded under applicable law.

15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Republic of Poland, excluding conflict-of-law rules.

The courts competent for the registered office of INGI shall have jurisdiction over disputes arising out of or in connection with this Agreement, unless mandatory consumer law provides otherwise.

Before filing a claim, the parties will attempt in good faith to resolve the dispute informally.

16. General Provisions

This Agreement, together with the Privacy Policy and any applicable written program terms, forms the entire agreement between you and INGI regarding the Early Access Software.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force and effect.

A failure to enforce any provision is not a waiver.

You may not assign this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of assets.

We may update this Agreement from time to time. If changes are material, we will make reasonable efforts to notify you in advance. Continued participation after the effective date of the updated Agreement constitutes acceptance.
